Welcome to the "Lighthouse OpenClaw Connector" plugin (hereinafter referred to as the "Plugin" or "this Plugin") provided by the Tencent Cloud International Agent Development Platform (hereinafter referred to as the "Platform," "we," or "ADP"). This Agreement aims to clarify the rights, obligations, and boundaries of responsibility between you and us during your use of this Plugin and related services.
This Agreement is also subject to the Tencent Cloud Terms of Service and the Tencent Cloud Agent Development Platform Service Agreement, as well as any other terms and conditions that you may have agreed to, and any other service agreements that you may have entered into with Tencent Cloud, as the case may be.
Before using this Plugin, please carefully read and confirm that you fully understand the entire content of this Agreement, particularly the clauses highlighted in bold or otherwise prominently displayed. By clicking agree, checking to confirm, or actually beginning to use this Plugin and related services, you are deemed to have read, understood, and accepted the entire content of this Agreement, and this Agreement constitutes a legally binding document between both parties.
I. Plugin Functions
You will deploy or have deployed the open-source software "OpenClaw" (subject to its actual name, which may change from time to time, hereinafter referred to as "OpenClaw") on the "Tencent Cloud Lighthouse" server that we provide and perform related configurations to create/deploy your OpenClaw agent (hereinafter referred to as "OpenClaw Agent") for executing high-privilege complex operation tasks such as browser automation (subject to the actual functions of OpenClaw). Related configurations include "Model Configuration," "Channel Configuration," "Skills Configuration," etc. (specific configuration items subject to the actual service). You may independently choose large language models made available through "Tencent Cloud Lighthouse" or ADPor connect to other third-party large languagemodels customized by you.
This Plugin connects your agent created on ADP (hereinafter referred to as "ADP Agent") with the "OpenClaw Agent" in a decoupled manner through the Platform's built-in transit gateway (adpbot-gateway), enabling asynchronous, secure, and scalable remote calling capabilities.
After installing this Plugin, you may connect the "OpenClaw Agent" with your "ADP Agent." Upon completion of the connection, your "ADP Agent" will undergo changes including but not limited to the following:
1.1 Agent upgraded from "conversation" to "locally executable": By connecting to this Plugin, your "ADP Agent" capabilities will be upgraded from "text conversation and cloud API calls" to "locally executable." That is, after connecting to the "OpenClaw Agent," the "ADP Agent" can complete real automated operations on browsers, operating systems, applications, etc., through the execution environment you authorize, based on your instructions.
1.2 Execution environment no longer fully controlled by the Platform: The above automated operations will be executed on your own devicesor third-party servers you authorize (such as Lighthouse). We do not directly access, control, or manage your terminal systems, servers, or any execution environment.
1.3 Tasks have persistence and irreversibility: Tasks executed by the "OpenClaw Agent" connected through this Plugin may have characteristics such as long-duration tasks and multi-step automation, and some operations (such as file deletion, data writing, account operations, etc.) may not be rollbackable or reversible once executed.
1.4 Other changes may occur after you connect the "OpenClaw Agent" to your "ADP Agent."The specifics are subject to the agent creation service provided by "OpenClaw," the configuration service provided by "Tencent Cloud Lighthouse," and the actual results generated based on your above connection operations.
II. Your Rights, Obligations, and Risk Disclosures
This Plugin only provides you with a connection channel service for accessing the "OpenClaw Agent" you created/deployed on "Tencent Cloud Lighthouse."
Please ensure that you fully understand all consequences, risks, and all responsibilities and obligations you need to bear under all applicable laws and regulations before downloading and using this Plugin to connect the "OpenClaw Agent" to the "ADP Agent," including but not limited to the risks and responsibilities listed below.
OpenClaw is an independent third party software and is not developed, owned, or controlled by Tencent Cloud. As a neutral technical service platform, we only provide you with a connection channel and access to OpenClaw via this Plugin. We do not own, operate, control, or supervise any OpenClaw agent actions and we do not participate in, control, or otherwise determine the logic, purpose or execution of actions performed by the OpenClaw Agent. We should not be regarded as a joint operator, developer, or content provider of your "ADP Agent" or "OpenClaw Agent." You shall independently bear all consequences and responsibilities of connecting the "OpenClaw Agent". If you violate any applicable laws, regulations, or regulatory requirements in any jurisdiction, or any applicable third party terms, you shall independently bear all resulting consequences and responsibilities. We are not liable for any direct, indirect, incidental, special, punitive, or consequential losses or damages caused by your connection behavior itself or its results. If this causes losses to us, you shall also compensate us for all such losses.
2.1 Terminal Operation Risks
You understand and agree that the operations performed by the "OpenClaw Agent" according to your instructions in the internal and external execution environments of the Platform may result in the following actual consequences for you and users who interact with your "ADP Agent," including but not limited to:
(1) creation, modification, or deletion of local files or system resources;
(2) account-related operations (such as login, logout, information filling, status changes, etc.);
(3) business operations based on browser automation (such as page access, form submission, ordering, queries, downloads, etc.); and
(4) uploading, downloading, extraction, or transmission of data.
Such operations may be unpredictable and irreversible. Neither we nor you will be able to reverse or revoke any terminal operations conducted by the "OpenClaw Agent." You shall independently evaluate and bear the risks and consequences arising from improper instruction content, authorization scope, or execution environment configuration by you and your users, including but not limited to data loss, business interruption, or impact on third-party rights. You shall bear full responsibility for the authorized execution environment and all results of operations performed in that environment. We are not directly or indirectly responsible for the results of any terminal operations.
2.2 Instruction Understanding and Execution Deviation Risks
You understand and agree that the automated execution of the "OpenClaw Agent" has unpredictability. The "OpenClaw Agent" may misunderstand your and your users' intentions due to technical limitations or scenario complexity, or perform unexpected operations during interactions. You are responsible for the clarity, precision, and accuracy of the instructions you issue. This Plugin only provides you with connection channel services and does not guarantee that the execution results of the "OpenClaw Agent" meet your expectations or do not cause damage to the rights of you and your users, nor does it bear any responsibility for consequences caused by instruction ambiguity from you or your users or execution deviations.
2.3 Execution Environment Security Risks
You understand and agree that the execution environment carrying the automated operations of the "OpenClaw Agent" (including your and your users' operating systems, network environments, locally stored data, software, etc.) is provided, configured, managed, and maintained by you or your users. You fully understand and commit to using this Plugin only to connect to the "OpenClaw Agent" created/deployed on "Tencent Cloud Lighthouse" and not to connect to other agents. You need to ensure the security, stability, and compliance of your and your users' execution environments and bear all risks and consequences arising from security vulnerabilities, configuration errors, malicious software, non-compliance issues, or breach of the aforementioned commitments in the execution environment. We do not make any express or implied guarantees or assume any responsibility for the availability, security, stability, or compliance of your execution environment itself.
2.4 Custom Model Use and Compliance Responsibilities
You may independently select, add, and connect custom models on the "Tencent Cloud Lighthouse" server to create/deploy your "OpenClaw Agent" and connect it to the ADP Platform through this Plugin. For custom models you independently select and connect, you should ensure the legality and compliance of connecting and using the models and bear all resulting legal obligations. We do not provide any guarantee for the compliance, content accuracy, or legality of custom models you independently connect, nor do we bear any responsibility for any resulting legal liability, compliance issues, or commercial losses.
(1) Model Compliance: You should independently confirm and guarantee that the custom models you connect and use, and related operational behaviors, comply with all applicable laws and regulations, regulatory policies, and ethical standards in any relevant jurisdiction, including the location of the model service provider, the location of your business activities or operational behaviors, etc., including but not limited to applicabledata protection laws, content security and review systems, export controls, artificial intelligence regulations, etc. You shall bear responsibility for violations resulting from connecting and using custom models. You also acknowledge and agree that your use of any large language model, whether accessed through ADP or that you otherwise independently connect, is subject to the relevant terms and conditions of the applicable model provider. You are solely responsible for reviewing and complying with all such terms and conditions. Tencent Cloud shall have no liability for any consequences arising from your violation of a model provider’s terms and conditions. You will promptly notify Tencent Cloud if you become aware of any actual or alleged violation of any applicable laws or any applicable model provider's terms and conditions in connection with your use of this Plugin.
(2) Ensuring Adequate Authorization: You should ensure that you have obtained adequate authorization from the model service provider based on applicable legal requirements before independently connecting the model, and that your connection and use of the model does not infringe on third-party rights. You shall bear any disputes or losses arising from authorization defects or infringement.
(3) Model Content Risks: You are aware that custom models may produce inaccurate, inappropriate, illegal, or misleading content (including but not limited to "model hallucinations") due to training data, algorithm design, or other reasons, or may trigger intellectual property, personality rights, or other civil, administrative, or criminal legal risks. You shall independently bear all content risks and legal responsibilities arising from or caused by the use of custom models.
(4) Cross-Border Data Risks: If the third-party model you independently connect requires cross-border processing of data you provide, such cross-border data activities occur between you and the model service provider. You need to comply with all applicable laws and regulations regarding data processing and data protection, including but not limited to fulfilling any cross-border data compliance obligations, obtaining separate consent from data subjects, applying for security assessments, or completing filings as required by law. We do not participate in, control, or bear any responsibility for the above cross-border data activities.
We do not provide any form of guarantee or bear responsibility for the legality, compliance, accuracy, or security of any custom model you introduce.
2.5 Third-Party Systems and Service Risks
You understand and agree that the automated operations of the "OpenClaw Agent" will involve third-party websites, applications, systems, or services. The service rules, interface specifications, stability, legality, and availability of such third parties are completely beyond our control. Any task failure, data loss, or other damage caused by any changes, interruptions, restrictions, or failures of third-party systems does not constitute our breach, and we bear no responsibility for this.
2.6 Authorization Abuse and Management Risks
You understand and agree that you have the obligation to properly safeguard credentials used for identity verification and authorization scheduling (such as Tokens, keys, etc.) and establish a complete internal authorization management system to prevent credential leakage, mis-authorization, or misuse by internal personnel. You shall bear full management responsibility for the safekeeping, use, rotation, and revocation of your credentials. We only provide scheduling services when receiving requests that pass legitimate credential verification and are not responsible for authorization abuse consequences caused by your poor management.
2.7 Data Processing and Privacy Risks
You understand and agree that the automated execution process of the "OpenClaw Agent" may access, read, or process your user data, your and your enterprise's internal information, or other sensitive data located in your execution environment ("User Data"). We hereby specifically declare to you that this Plugin service is designed following the principle of "no active collection." We do not actively collect, store, or process any data flowing or stored in your execution environment. We only process User Data according to your entrustment. As the controller and independent processor of User Data, you need to ensure that any data operation behavior and cross-border data activities (if applicable) you achieve through this Plugin's functions comply with all applicable data security and privacy protection laws and regulations, and independently bear all resulting compliance responsibilities. You should fully fulfill data security control responsibilities and effectively safeguard your own business data security through measures including but not limited to strengthening account permission control and data security monitoring, and formulating data security incident emergency response plans, fulfilling obligations to guarantee the information security of your users' data.
2.8 Interruption and Failure Risks
You understand and agree that due to factors such as network fluctuations, abnormalities in your or your users' execution environment, third-party service interruptions, force majeure, etc., tasks initiated through this Plugin may experience interruption, delay, or failure. The Platform does not guarantee that any task will be successfully, completely, or timely completed. Interruption of service or failure of tasks shall not be deemed as Platform breach, and the Platform shall not bear responsibility for this, except as otherwise required by mandatory legal provisions.
2.9 OpenClaw Compliance
You acknowledge and agree that OpenClaw is an independent third‑party software and/or open‑source software not developed, owned, or controlled by Tencent Cloud.
You are solely responsible for ensuring that your deployment, configuration, and use of this Plugin complies with all applicable open‑source licenses, commercial licenses, and OpenClaw’s terms of service, usage policies, acceptable use requirements and other applicable requirements and policies.
III. Our Rights and Obligations
3.1 Scheduling and Authentication Responsibility: We are responsible for performing legitimate identity credential (Token) verification on scheduling requests you initiate, correctly routing legitimate requests to the corresponding execution environment you authorize, and correctly returning the response results from the execution environment.
3.2 Log Storage: To ensure basic service operation and problem troubleshooting, we will only record log information related to the scheduling service itself, including call timestamps, request identifiers, scheduling status (success/failure), conversation requests, response returns, etc.
3.3 Remote Execution Capability and Authorization: You confirm and agree that the connection service provided by this Plugin completes automated operations corresponding to your instructions by scheduling external execution environments (including but not limited to local computers, cloud servers, or enterprise intranet devices) deployed and controlled by you or entities you authorize. You should complete the necessary and explicit authorization configuration on the above execution environment side, allowing the execution environment to receive scheduling instructions from this Platform within the authorized scope.
3.4 Change or Termination of Service: Based on technical upgrades, business model adjustments, changes in laws, regulations, or regulatory requirements, force majeure, or as necessary to protect the interests of the Platform and the majority of users, including if we believe that your use of the Plugin or any connected model or service on the Platform may violate this Agreement, applicable laws, regulations, third party terms of service, or expose us to legal, regulatory or reputational risk, we reserve the right to interrupt, change, suspend, terminate, migrate, disable your access to, or change service rules for all or part of the Plugin services from time to time without liability. We will endeavor to notify you in advance of such major changes so that you can be informed in advance and make corresponding arrangements such as data backup and migration.
IV. Indemnities and Limitation of Liabilities
4.1 Cap on Liability. TO THE MAXIMUM EXTENT PERMISSIBLE UNDER APPLICABLE LAWS, THE TOTAL AGGREGATE LIABILITY OF TENCENT CLOUD AND ITS AFFILIATES FOR ALL CLAIMS ARISING IN CONNECTION WITH THIS AGREEMENT AND YOUR USE OF THIS PLUGIN, UNDER ANY CAUSE OF ACTION OR THEORY OF LIABILITY, WILL BE LIMITED TO USD 100.
4.2 Disclaimer of Damages. TO THE MAXIMUM EXTENT PERMISSIBLE UNDER APPLICABLE LAWS, NEITHER TENCENT CLOUD NOR ITS AFFILIATES WILL BE LIABLE TO YOU FOR: (i) INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES; (ii) LOSS OF DATA, LOST PROFIT, GOODWILL, REVENUE, CUSTOMERS, OR OPPORTUNITIES; OR (iii) DAMAGES ARISING FROM THE UNAVAILABILITY, SUSPENSION, OR TERMINATION OF THIS PLUGIN OR ANY THIRD-PARTY LARGE LANGUAGE MODEL OR OTHER THIRD-PARTY SERVICE RELATING TO THE SERVICE AND THIS AGREEMENT.
4.3 Unlimited Liabilities. NOTHING IN THIS AGREEMENT EXCLUDES OR LIMITS LIABLITY FOR: (1) YOUR INDEMNIFICATION OBLIGATIONS IN THIS AGREEMENT; OR (2) EITHER PARTY'S LIABILITY FOR ANY MATTERS FOR WHICH LIABILITY CANNOT BE LIMITED OR EXCLUDED UNDER APPLICABLE LAWS.
4.4 Your Indemnification. You will defend, indemnify, and hold harmless Tencent Cloud, its affiliates, and each of their respective agents, licensors, employees, officers, and directors from and against any claims, allegations, suits, proceedings, fines, or penalties, to the extent they arise out of or in relation to:
(1) your use of this Plugin, your ADP Agent, or your OpenClaw Agent, including but not limited to any alleged infringement or misappropriation of third-party intellectual property rights;
(2) any alleged violation of applicable laws or regulations in connection with your use of this Plugin;
(3) your violation of any third-party model provider's terms of service, requirements or policies;
(4) any claims by your end users or any third party arising from the actions or outputs of your ADP Agent or OpenClaw Agent; and/or
(5) the use of any products, services, data, software, hardware, or business processes not provided by Tencent Cloud.
V. Miscellaneous
5.1 This Agreement constitutes the complete agreement between you and us regarding the use of this Plugin and supersedes any prior oral or written statements, communications, or understandings between the parties regarding such matters.
5.2 We have the right to revise this Agreement from time to time based on changes in laws and regulations, technological developments, or business adjustment needs. The updated Agreement will be published through designated Platform channels. If you do not agree with the relevant modifications, you should immediately stop using this Plugin. If you continue to use it, you will be deemed to have accepted the revised Agreement.
5.3 This Agreement is governed by the laws of Singapore.
5.4 If a dispute, controversy or claim arising from or in connection with this Agreement or your use of the Plugin cannot be resolved within thirty (30) days following the commencement of consultation or mediation, then you or we shall submit the dispute for arbitration by the Singapore International Arbitration Centre ("SIAC"). Except for the right of either you or us to apply to any court of competent jurisdiction for a temporary restraining order, a preliminary injunction, or other equitable relief to preserve the status quo or prevent irreparable harm, both you and we agree that any dispute, controversy or claim arising out of or relating to this Agreement, including the existence, validity, interpretation, performance, breach or termination thereof or any dispute regarding non-contractual obligations arising out of or relating to it shall be referred to and finally resolved by arbitration administered by the SIAC under the SIAC Arbitration Rules of the SIAC for the time being in force which rules are deemed to be incorporated by reference in this section. The seat of arbitration shall be Singapore. The number of arbitrators shall be three (3). You and we shall each designate one (1) arbitrator and the President of SIAC shall appoint a person who is the third arbitrator to act as the presiding arbitrator of the arbitral tribunal. The arbitration proceedings shall be conducted in English. The arbitral award shall be final and binding upon you and us.
