1. Introduction
These AI Service Terms (“AI Terms”) apply to your use of any artificial intelligence-powered features, functionalities, tools, or services made available by Tencent Cloud (“we”, “our” and “us”) through our Services on the Tencent Cloud International Console or Services that are licensed to you under a Tencent Software License (Private Deployment) Agreement (“AI Services”).
By enabling, accessing, or using the AI Services, you agree to these AI Terms and expressly acknowledge, understand, and accept the following inherent and unavoidable risks of generative AI technology, and agree that you bear full responsibility for all consequences of your use:
(a) Output Reliability Risks
AI Output frequently contains factual inaccuracies, fabrications ("hallucinations"), omissions, or biased content that may appear authoritative.
Outputs may misinterpret context, instructions, or nuanced queries, leading to unreliable or misleading results.
No output is inherently "safe," "accurate," or "complete" regardless of safety filters or review processes.
(b) Agentic Execution Risks
AI Agents may incorrectly execute tool calls, API requests, or autonomous actions (e.g., deleting data, sending transactions, modifying systems).
Multi-step reasoning chains amplify errors through compounding inaccuracies across iterations.
Unintended escalation may occur when agents chain actions without adequate human controls.
(c) Third-Party Integration Risks
Third-party LLMs, plugins, or APIs operate under their own terms, potentially retaining/training on your data without Tencent Cloud's control or opt-out rights.
Jurisdictional and compliance mismatches when data routes to third-party providers in different regions.
Cascading failures when agent workflows depend on unreliable third-party components.
(d) Systemic Limitations
AI lacks human judgment, empathy, common sense, or ethical reasoning, even for complex professional scenarios.
Performance degrades on edge cases, novel situations, or specialized domain knowledge.
Safety systems are not foolproof; content passing filters may still violate laws, policies, or your risk tolerance.
You confirm that:
(i) You have evaluated these risks against your specific use case, industry regulations, and risk tolerance;
(ii) You have implemented appropriate technical and organizational safeguards (human oversight, validation workflows, testing protocols); and
(iii) Tencent Cloud bears no responsibility for any losses, liabilities, or damages arising from these inherent AI limitations, regardless of foreseeability.
If you do not agree with these risks and limitations, you must not use the AI Services.
These AI Terms supplement, and prevail over, the Tencent Cloud Terms of Service, the Tencent Cloud Master Services Agreement, the Tencent Cloud Reseller Customer Terms of Service or the Tencent Software License (Private Deployment) Agreement (as the case may be, and each referred to as a “Service Agreement”) entered into between you and us, and the Tencent Cloud Acceptable Use Policy to the extent of any inconsistency relating to the AI Services. However, in the event of any inconsistency between these AI Terms and product/service specific terms, the product/service specific terms shall prevail.
The AI Services are offered as default or optional AI features that may form part of, or be accessible through, the Services as defined in Service Agreement.
These AI Terms are intended to clarify the ownership, use, risks, and responsibilities relating to the AI Services by:
confirming that use of the AI Services is optional and at your sole discretion and risk;
disclaiming all warranties and liability for AI-generated content;
requiring you to ensure that your use of the AI Services complies with applicable laws (including but not limited to the EU AI Act and South Korea AI Basic Act) and these AI Terms; and
clarifying that Tencent Cloud does not make any commitments, guarantees, or indemnities in relation to the AI Services.
Capitalised terms used in these AI Terms have the same meaning as the equivalent defined terms in the Service Agreement, unless the context requires otherwise.
2. Definitions
For the purposes of these AI Terms, the following additional definitions apply:
“AI Agent” means any system, application, workflow, or service that uses the AI Services to perform autonomous or semi-autonomous actions, decisions, or operations, including but not limited to tool-calling, function execution, API orchestration, data retrieval/modification, transaction processing, or multi-step reasoning chains (whether single-agent or multi-agent systems).
“AI Output” means any content, data, material, or information generated by the AI Services in response to or based on the User Input.
“Tencent Cloud” means the relevant Tencent entity that entered into a Service Agreement between you and us in connection with the provision of our Services.
“User Input” means any User Data submitted, uploaded, or otherwise provided to the AI Services by you or your End Users, including textual, verbal or graphic instruction or other interaction with the AI Service provided by you or your End Users. For clarity, references to User Data in the Service Agreement shall include User Input.
3. Ownership, Licence and Use of User Input and AI Output
3.1 Ownership of User Input and AI Output
Subject to your compliance with all applicable laws and the Service Agreement (including these AI Terms), as between you and Tencent Cloud, you acknowledge that Tencent Cloud does not represent or warrant that any AI Output will be unique or exclusively provided to you, or that AI Output will not be similar to content generated for others or existing third‑party content, you own all rights, title, and interest, including all Intellectual Property Rights, in and to:
(a) the User Input you provide to the AI Services; and
(b) the AI Output generated by the AI Services based on your User Input,
provided that such rights, title, and interest, including Intellectual Property Rights, in relation to User Input and AI Output in the context of the AI Services are recognised under the applicable laws.
3.2 Licence to Tencent Cloud
By providing User Input and using the AI Services, you grant Tencent Cloud a non-exclusive, sublicensable, worldwide, royalty-free, irrevocable, perpetual, and transferable licence to:
access, use, process, store, reproduce, modify, and otherwise use your User Input and AI Output to provide, operate, support, improve, and develop the AI Services, including for training, testing, and enhancing Tencent Cloud’s AI models and systems (“AI Models”), subject to your right to opt-out model training under clause 3.3 below; and
use the User Input and AI Output to comply with applicable laws and enforce the terms of the Service Agreement, including but not limited to these AI Terms.
3.3 Model Training Opt-Out
Tencent Cloud may use User Input and AI Output to train AI Models, unless you opt-out of model training in the relevant AI Service. You acknowledge that such opt-out may limit the AI Service functionality.
3.4 Sharing with Third Parties
You acknowledge and agree that Tencent Cloud may share User Input and AI Output with its service providers, affiliates, and authorised third parties where necessary to provide the AI Services or to comply with applicable laws.
Where relevant and where permitted under applicable laws, any such third parties will be bound by appropriate confidentiality and security obligations.
3.5 Your Responsibility for User Input
You are solely responsible for the accuracy, legality, and appropriateness of your User Input and for ensuring that you have all rights, permissions, and consents necessary to submit User Input to the AI Services.
You must not submit any User Input that includes sensitive personal information (including data that reveals racial or ethnic origin, political opinions, religious or philosophical beliefs, or trade union membership, health data or data concerning your sex life or sexual orientation).
3.6 Sensitive and Confidential Data
The AI Services are not designed for the ingestion or processing of your most sensitive or regulated data (including, without limitation, trade secrets, highly confidential business information, classified information, or data subject to special legal or regulatory protections such as bank secrecy, state secrets, or export‑controlled technical data), unless expressly agreed in writing and configured accordingly.
You must not include such data in User Input unless: (i) you have implemented appropriate technical and organisational measures to mitigate the associated risks; and (ii) you have disabled model‑training and any data‑sharing options in the relevant AI Service to the extent applicable.
To the fullest extent permitted by law, Tencent Cloud shall have no liability for the disclosure, use, or loss of such data resulting from your decision to submit it as User Input contrary to these AI Terms or the applicable documentation.
4. Use Restrictions
4.1 Restricted Usage of AI Services
In addition to Tencent Cloud’s Acceptable Use Policy which shall also apply to your use of the AI Service, you shall not, and must ensure that your End Users do not, use the AI Services to:
submit User Input or use AI Output that infringes any person’s Intellectual Property Rights, privacy rights, or other legal rights;
submit any User Input that includes sensitive personal information;
use or generate any AI Output in a way that is misleading, deceptive, or likely to cause harm, including but not limited to manipulating content including those of individuals in a manner that is deceptive, misleading, intimidating, harassing, harmful or otherwise infringing on the rights of others;
generate professional advice, including legal, medical, financial, or other regulated advice, and disseminating or relying on the same;
use the AI Services for fully automated decision-making without human oversight;
use the AI Services to create or disseminate false, defamatory, harassing, or offensive content, or content that may cause harm to individuals or entities;
generate any pornographic, sexually explicit or obscene content;
facilitate, promote, or incite violence, terrorism, hate speech, or content that threatens or intimidates individuals or groups; and/or
violate any applicable laws or third-party terms.
You shall not, and shall ensure that your End Users shall not do or attempt to do any act which is harmful to the AI Service including but not limited to the following:
Model Inversion: Access, extract, infer, or otherwise derive any component of the underlying models, including but not limited to parameters, weights, embeddings, training data, or proprietary algorithms, through model inversion or any similar technique.
Adversarial Attacks: Deploy or facilitate any activity intended to compromise the integrity, security, or performance of the AI Services, including but not limited to prompt injection, adversarial input generation, data poisoning, membership inference, or output manipulation to bypass safety systems.
Reverse Engineering: Decompile, disassemble, reverse engineer, or otherwise attempt to reconstruct the architecture, source code, or design of any models or software comprising the AI Services, except as expressly permitted by applicable law notwithstanding this restriction.
Probing or Benchmarking: Systematically probe, test, or benchmark the models in a manner that is intended to disclose confidential information, assess vulnerabilities, or derive competitive insights not otherwise available through standard use of the Services. You shall not publish or disclose to any third party any performance or benchmark tests of the AI Services or underlying models without Tencent Cloud’s prior written consent.
4.2 Disclosure Requirement
If you share or publish AI Output publicly or to a third party, you must clearly disclose that the content is AI-generated in a manner that is easily visible and understandable to recipients.
If you use the AI Services, in whole or in part, to develop, deploy, provide or operate an AI service (including but not limited to chatbot, virtual assistant, or other automated conversational interface) (“AI Product”), you must:
clearly and prominently disclose, at the outset of each interaction, that your AI Product is powered by, or incorporates, a Large Language Model (LLM) or other Generative AI technology. The disclosure must be in plain language and easily understandable by the intended audience.
ensure that such disclosures and any associated labels, notices, or indicators comply with all applicable laws, regulations, and industry standards governing AI system transparency, identification, or labelling in each jurisdiction where your AI Product is made available. This includes, without limitation, requirements for persistent or recurring notices during user interactions where mandated.
maintain the accuracy of the disclosure over time and display it in a manner that is easily visible and accessible on all platforms or channels through which your AI Product operates.
retain documentation sufficient to demonstrate compliance with these disclosure and labelling obligations, and provide such records to Tencent Cloud or relevant authorities upon request.
4.3 Content Sharing and Publication
When publishing or disseminating AI Output (including via social media, websites, reports, or presentations), you must:
manually review and verify each AI Output before sharing;
attribute the content to your name or entity;
not present AI Output as human-generated without disclosure; and
not use AI Output to impersonate or mislead.
4.4 Regulatory Compliance
(a) You acknowledge that Tencent Cloud provides the AI Services as a general‑purpose AI infrastructure and/or component and does not determine your specific use cases, deployment context, or integration of the AI Services with your products, services, or systems.
(b) Except where expressly agreed in a separate written addendum, Tencent Cloud does not assume, and disclaims, any role or responsibility attributed to “provider”, “deployers”, “operators”, “importers”, “distributors”, or similar regulated roles under any AI‑specific laws or regulations (including the EU AI Act and South Korea AI Basic Act) in connection with your AI products or your downstream deployments.
(c) You are solely responsible for: (i) determining whether and how your use of the AI Services is subject to any AI‑specific or sector‑specific regulations; (ii) conducting and documenting any required risk assessments, impact assessments, human rights assessments, or conformity assessments; (iii) implementing and maintaining any required human oversight, export control, transparency, logging, or governance controls; and (iv) ensuring that your AI products and related processes comply with such requirements.
(d) Tencent Cloud has no obligation to design or configure the AI Services to meet the specific requirements applicable to your AI products or your industry, nor to provide information or documentation beyond what Tencent Cloud makes generally available, unless otherwise expressly agreed in writing.
4.5 Monitoring and Enforcement
You acknowledge and agree that Tencent Cloud shall have the right but not the obligation to monitor User Input and AI Output, including through any automated systems or human review to detect violations of the Service Agreement including these AI Terms and ensure compliance with the Service Agreement and applicable laws.
You acknowledge that we may at our sole discretion implement content filtering, usage restrictions, and other safety measures to prevent misuse of the AI Services. This shall be without prejudice to Tencent Cloud’s rights to suspend the Services (including the AI Service) under the Service Agreement. You agree that any User Input or AI Output that is not automatically blocked or filtered does not automatically imply that such content complies with the Service Agreement or applicable laws.
Without limiting Tencent Cloud’s suspension rights under the Service Agreement, Tencent Cloud may, with or without notice, suspend or restrict access to all or part of the AI Services, or apply additional usage limits or safety filters, where Tencent Cloud reasonably suspects misuse of the AI Services, violation of these AI Terms, or where Tencent Cloud considers such action necessary to address safety, security, suspected agentic misuse or legal risks.
4.6 AI Agents and Autonomous Systems
(a) In addition to other restrictions, you shall not use, develop, or deploy AI Agents via the AI Services that:
Perform actions with material real-world effects without continuous human oversight and approval (e.g. financial transactions, contract execution, system configuration changes, or content publication).
Access, modify, or control external systems, third-party services, or your production environments without explicit safeguards (e.g. sandboxing, dry-run modes, approval gates).
Chain or orchestrate multiple AI Service calls in loops or recursions that could cause excessive resource consumption, denial-of-service, or unintended escalation.
Use the AI Services to build competing agentic platforms or services that replicate Tencent Cloud's AI capabilities.
(b) You are solely responsible for:
Implementing all safety controls, including human-in-the-loop oversight, kill switches, rate limiting, and error handling for any AI Agent.
Testing, validating, and monitoring AI Agents for hallucinations, tool misuse, bias amplification, or unintended behaviors before deployment.
Ensuring AI Agents comply with applicable laws, including those governing autonomous systems (e.g. EU AI Act prohibited/high-risk uses).
Any liabilities arising from AI Agent actions, including third-party claims from erroneous tool calls or outputs.
5. AI Output Limits and Technology Partner Disclosure
5.1 Limits on AI Output Volume
Tencent Cloud may impose reasonable limits on the volume, frequency, or nature of AI Output you or your End Users can generate using the AI Services. These limits may include usage caps, rate limits, or restrictions based on your Subscription Plan. Tencent Cloud will notify you of any such limits via the Tencent Cloud console or by direct notice.
5.2 Technology Partners
Tencent Cloud uses third-party AI technology providers to enable the AI Services, including large language models and machine learning services. By using the AI Services, you acknowledge that your User Input (including any personal information you choose to include) may be shared with such third-party providers solely to provide, operate, and improve the AI Services, in accordance with Tencent Cloud’s Privacy Policy.
5.3 Third-Party AI Tools, Models and Plugins
(a) The AI Services may enable you to: (i) access, call or route User Input or AI Output to third‑party AI models, tools, APIs, or plugins (including large language models, retrieval or vector services, and other machine learning services), whether made available by Tencent Cloud or separately configured by you; or (ii) integrate the AI Services with your own or third‑party applications, systems, or services (together, “Third‑Party AI Tools”).
(b) Unless expressly stated in the Service Agreement, Tencent Cloud does not develop, operate, or control Third‑Party AI Tools and is not responsible for their acts or omissions, performance, security, availability, or outputs. Tencent Cloud makes no representations, warranties, or commitments and provides no indemnities in respect of any Third‑Party AI Tools or any content or outputs generated, transmitted, or processed by them.
(c) You are solely responsible for: (i) selecting, enabling, configuring, and using any Third‑Party AI Tools; (ii) entering into and complying with any applicable terms, licenses, or privacy policies of Third‑Party AI Tools; and (iii) any data you or your End Users submit to, or receive from, Third‑Party AI Tools and any processing of such data by the provider of the Third‑Party AI Tools.
(d) To the extent permitted by applicable law, Tencent Cloud will have no liability (and no obligations under any service level agreements) arising from or related to any unavailability, delay, failure, error, or inaccuracy in the AI Services that is caused by Third‑Party AI Tools, integrations, or your configurations of the same.
(e) You must obtain all required consents for data shared with Third-Party AI Tools.
5.4 Data Handling and Privacy
Tencent Cloud will handle your User Input and AI Output in accordance with the Service Agreement, including these AI Terms, and Tencent Cloud’s Privacy Policy. You acknowledge that any User Input may be transferred to and processed by third-party technology providers, who may be located outside of your jurisdiction, and may use the User Input to improve their services subject to their applicable privacy terms.
6. AI Service Limitations and Disclaimers
6.1 Limitations
You acknowledge that the AI Services, may:
not fully comprehend or understand the context or nuances of language;
generate AI Output that is factually inaccurate, incomplete, or impersonal;
lack human judgment, emotions, and empathy;
perpetuate biases or errors inherent in training data; or
encounter challenges with complex reasoning and decision-making.
These limitations are inherent to the underlying technology that is used to provide the AI Services. Tencent Cloud makes no representations or warranties, express or implied, as to the accuracy, completeness, reliability, or fitness for a particular purpose of any content generated by the AI Services. You agree that you are using the AI Service at your own risk, and you are solely responsible to proactively review, evaluate and verify all AI Output, including for purposes of determining the suitability of any AI Output for your intended use, before relying on or sharing it.
To the fullest extent permitted by applicable laws and without prejudice to the relevant provisions relating to limitation of liabilities of the Service Agreement, Tencent Cloud excludes all liability for any losses, costs, claims, demands, actions, proceedings, fines, penalties, awards, liabilities, damages, compensation, settlements, expenses and/or professional costs and/or charges arising out of or in connection with your use of, or reliance on, the AI Services or any AI Output, including any errors, inaccuracies, omissions, or malfunctions of the AI Services or AI Output.
6.2 No Professional Advice
The AI Output is provided for informational purposes only. The AI Output does not constitute legal, financial, medical, or other professional advice.
6.3 No Fully Automated Decision-Making
You acknowledge that the AI Services are not intended to help you make decisions that have legal or similarly significant effects on individuals without appropriate human oversight. This includes, without limitation, decisions relating to healthcare, employment, credit, finance, insurance, housing, or legal matters.
6.4 No High-Risk Applications
The AI Services are not designed for use in any critical infrastructure systems, life-support or medical diagnostic applications or law enforcement decision-making. You agree not to use the AI Services in any way, including to develop, deploy, provide, integrate or operate, with the aforementioned systems or with any systems or services that would be regarded a high-impact or high-risk AI (systems) under applicable laws (including but not limited to the EU AI Act and South Korea AI Basic Act).
6.5 Third party content
The responses generated through the use of the AI Services may contain references or links to third-party websites, content, products, or services (“Third-Party Content”). Such Third-Party Content is provided for convenience and informational purposes only, and does not constitute an endorsement, guarantee, or recommendation by Tencent Cloud of any kind. You acknowledge that Tencent Cloud has no control over, and is not responsible for, the accuracy, legality, availability, or appropriateness of any Third-Party Content. Accessing or using Third-Party Content is at your own risk, and you acknowledge and agree that Tencent Cloud shall have no liability, direct or indirect, arising from your use of or reliance on any such Third-Party Content.
7. Disclosure
Tencent Cloud may disclose your User Input and AI Output to law enforcement, regulatory authorities, or third parties if legally required under applicable laws or Tencent Cloud reasonably believes such disclosure is necessary to:
comply with applicable Law, court order, or government request;
respond to a claim or allegation that the User Input or AI Output infringes rights of others or violates applicable laws;
investigate or address any suspected unlawful or prohibited use of the AI Services; or
protect the rights, property, or safety of Tencent Cloud, its employees, other customers, or the public.
You acknowledge that Tencent Cloud is not required to notify you of any such disclosure, including where prohibited by applicable laws or if Tencent Cloud reasonably considers that providing such notice would undermine the purpose of the disclosure.
8. AI-Specific Limitation of Liability
To the fullest extent permitted by applicable law and notwithstanding anything to the contrary in the Service Agreement: (a) any aggregate liability of Tencent Cloud arising out of or relating to the AI Services or AI Output shall be subject to a separate, lower cap of 10% of the Fees paid or payable by you for the AI Services in the 12‑month period immediately preceding the event giving rise to the claim; and (b) Tencent Cloud shall have no liability for any indirect, consequential, special, punitive, or exemplary damages, or for any loss of profits, revenue, data, or business opportunities, arising from or related to your use of or reliance on the AI Services or AI Output.
9. AI-Specific IP and Data Claims
(a) To the fullest extent permitted by law and notwithstanding anything to the contrary in the Service Agreement, Tencent Cloud does not provide any indemnity for, and will have no liability in respect of, any claim, loss, or dispute alleging that: (i) the AI Services, AI Output, or underlying training data infringe or misappropriate any Intellectual Property Rights; (ii) the collection, use, or disclosure of data in connection with the AI Services violates any privacy, data protection, or similar law or rights; (iii) the outcomes, errors, or harms from AI Agent tool-calling, function execution or autonomous decisions; or (iv) the compatibility, performance, or security of external tools/APIs integrated with AI Agents.
(b) You shall indemnify, defend, and hold harmless Tencent Cloud, its affiliates, and their officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to: (i) User Input, including any allegation that User Input infringes or misappropriates any Intellectual Property Rights, privacy rights, or other rights of any person; (ii) your use or distribution of AI Output; (iii) your AI Products or any decisions or actions taken (or not taken) in reliance on AI Output; or (iv) any AI Agent developed or deployed using the AI Services.
10. Feedback Mechanism
You may submit Feedback on the AI Services through the Tencent Cloud console or other channels notified by Tencent Cloud to you from time to time. Any Feedback you provide may be used by Tencent Cloud to improve the AI Services and will not be treated as confidential.
By submitting Feedback, you:
(a) grant Tencent Cloud a perpetual, irrevocable, worldwide, royalty-free, fully paid-up, sublicensable, and transferable licence to use, reproduce, modify, create derivative works from, distribute, publicly display, publicly perform, and otherwise exploit the Feedback for any purpose, without any obligation of compensation, attribution, or accounting to you;
(b) represent and warrant that you have all rights necessary to grant the foregoing licence and that the Feedback does not infringe the intellectual property rights or other rights of any third party;
(c) acknowledge that Feedback will not be treated as confidential, regardless of any designation you may apply to it; and
(d) waive any and all moral rights in the Feedback to the fullest extent permitted by applicable law.
